Eaglestream Media, LLC - Website Support Terms & Agreements

Fee Changes and Subscription Plans

Eaglestream reserves the right to modify fees and support packages at any time. Changes will be communicated via email, written notice, or on our website. Continued use of the Service after such notification indicates acceptance of the new fees. All fees exclude taxes, levies, or duties, which are the responsibility of the client, excluding U.S. federal or state taxes.

Technical Support

While we don't provide hosting services, we can recommend preferred hosting providers and assist with server setup and statistics software like Google Analytics. Detailed estimates for these services will be provided separately.

Website Support Cancellation

Clients can cancel web support anytime via email at support@eaglestreammedia.com. Please note, we do not offer refunds.

No Refunds for Website Support

All payments are final and non-refundable. This applies to partial use of web support services. Any discounts or credits offered are at our discretion and do not imply future entitlement.

Website Support Billing Cycle

  • Monthly Plans: Billed in advance monthly; no refunds for partial service or unused periods.
  • Annual Plans: Billed annually; auto-renews each year unless canceled. No refunds for partial use or unused terms with an open account.

Web Support Plan Billing Structure

  • Annual Billing: Web support plans are primarily billed on an annual basis. Clients opting for annual billing will benefit from standard rates.
  • Monthly Payment Option: Clients may choose a monthly payment option for web support plans. However, this choice incurs a 20% increase in the total annual cost due to the added administrative overhead.
  • Billing Cycle and Payments: The annual billing cycle starts from the date of plan activation. For monthly payments, invoices will be issued at the beginning of each month.
  • Plan Changes: Clients can switch between annual and monthly billing at the end of their current billing cycle.

Eaglestream Media À La Carte Web Support

  • Basic Support: Tailored for minor updates and fixes, suitable for quick and straightforward changes.
  • Complex Changes: Includes substantial updates like content revisions, design modifications, and adding new features. The complexity and scope determine the effort required.
  • Specialized Services: Services like SEO optimization and site performance enhancements, crafted to specific needs.
  • Consulting Support: Strategic advice and planning for web optimization and digital strategy, priced according to the unique requirements of each project.

Each service is customized to your project's specific needs, and pricing is determined based on the scope and complexity of the support required.

Invoices

Invoices are sent electronically and are payable within 3 days via Stripe. We reserve the right to charge 15% monthly interest on overdue debts. This contract is non-transferable without mutual consent. Both parties agree to comply with relevant laws and regulations.

Payment Terms

  • Payment Schedule: Client agrees to pay the total amount each term, with the first payment due upon agreement execution.
  • Auto-Renewal: Subscriptions auto-renew continuously at the end of each term, charged at the current rate unless canceled.
  • Late Payments: Failure to make timely payments may result in work suspension and withholding of current work.

Third Party Fees

The client is responsible for all third-party fees, including licenses for new plugins or software.

Deadlines & Deliverables

  • Response Time: Eaglestream will respond to maintenance requests within 24 hours on weekdays.
  • Deadline Adherence: We strive to meet deadlines; clients will be notified of any changes.

Additional Services

Services not specified in this document are considered additional and will require a separate agreement and payment.

Authorization

Client authorizes Eaglestream to access their web hosting account for maintenance services. Eaglestream should be the sole provider of these services during the contract.

Indemnity

Client agrees to indemnify Eaglestream against all claims related to copyright, trademark, or unfair competition related to services provided under this Agreement.

Miscellaneous

  • Independent Contractor: Eaglestream operates as an independent contractor, not as an employee or agent of the Client.
  • Limitation of Liability: Liability for each party is limited to the cost of purchased services.
  • Contract Cancellation: Can be done by either party with written notice. Specific terms apply for service transition upon cancellation.
  • Governing Law: Governed by the laws of Georgia, with arbitration in Atlanta, Georgia.
  • Severability: If any part of this Agreement is unenforceable, the remainder remains valid.
  • Entire Agreement: This document constitutes the entire agreement, superseding all prior agreements.
